Bob Brown is the inventor and the holder of a patent for a fence product which he contractually granted to BJD manufacturing Ltd (BJDML). When Bob and his wife resigned as directors from both BJDML and its subsidiary ElectroSafe Fence Ltd (Fence), his royalties payments were stopped. The remaining director David was threatened by legal actions and thus on behalf of BJDML he agreed to pay the outstanding royalties, which is the 2% of gross sales generated by BJDML. Bob on the other hand is unhappy because he wants the gross sales of Fence to be included in the royalties calculations. The Legal issue is whether Bob can sue Fence and successfully claim the royalties with the inclusion of the gross sales revenue of Fence. In order to assess Bob’s chances, calls for the examination of Fence’s separate legal entity status and the circumstances where the corporate veil can be pierced.

Roskill LJ observed in The Albazero [1977] AC 774: “... each company in a group of companies ... is a separate legal entity possessed of separate legal rights and liabilities so that the rights of one company in a group cannot be exercised by another company in that group ... It is perhaps permissible under modern commercial conditions to regret the existence of those principles. But it is impossible to deny, ignore or disobey them.” Do you agree with this judicial statement?
