Executive Summary This report examines and evaluates the corporate governance arrangements of five different companies across five different countries. We have proposed a three-factor model as the basis of our analysis, researching into three important areas; risk management, remuneration and board composition. Our results from the sample of companies provided, indicate that companies consistently disclose important risk factors influencing their business and manage risk through their internal audit functions. However, the majority of the companies in the sample fail to have a separate Risk Management Committee, which is important for every large company to have. Furthermore, on average the majority of companies sampled had Remuneration committees, however lacked independence. However, when examining board composition, our findings show a good variety of professionals from diverse educational and cultural backgrounds, with expertise and experience in the industry within which the company operates.
