China and Singapore have distinct differences in the legislative principles in regards to contract law and thus there are differences in the remedies available for breaches of contract. One of the underlying differences between the two countries are the different sources of law – Chinese law is based on German influenced civil code, where as Singapore is largely based on common law, which has been inherited from Britain. However there are other defining differences between the two country's contract law systems; there are characteristics from the history and culture of China that have a major influence on the contract law in China (J. Fu). The three fundamental concepts of contract law in China are equity of parties, freedom of contract and full performance (J. Chen 1960), whereas for Singaporean contracts, the emphases are on freedom and fairness (M.U. Soe 1978). Nevertheless, there are some qualities of contract that the two countries share and in this report I will uncover these similarities as well as outline the differences in the remedies available for breaches of contract law in China and Singapore.
